TERMS OF USE AND CONDITIONS OF APPLICATION

These Terms of Use and Conditions of Application (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Mobalon Academy (“Mobalon Academy,” “we,” “us,” or “our”), concerning your access to and use of the website www.MobalonACADEMY.com, related mobile applications, online courses, enrollment portals, and any other media form, channel, or platform operated by or connected to Mobalon Academy (collectively, the “Site” or “Services”).


Mobalon Academy is the official education platform of the Mobalon ecosystem and houses the Mobile Salon School, Hair Art School, MSOL (Mobile Salon Operators License) programs, and all related courses and training.


By accessing or using the Site, registering for any course, submitting an application, or making any payment, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.


We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.


1. ELIGIBILITY AND USER REPRESENTATIONS


The Site is intended for users who are at least 13 years of age. Users who are minors (under 18 in most jurisdictions) must have parental or guardian permission and supervision to use the Site. By using the Site, you represent and warrant that:


(a) All registration and application information you submit is true, accurate, current, and complete;

(b) You will maintain and promptly update such information;

(c) You have the legal capacity to enter into these Terms;

(d) You are not under the age of 13;

(e) If you are a minor, you have obtained parental/guardian consent;

(f) You will not access the Site through automated or non-human means (bots, scripts, etc.);

(g) You will not use the Site for any illegal or unauthorized purpose; and

(h) Your use of the Site will not violate any applicable law or regulation.


We reserve the right to suspend or terminate any account and refuse current or future use of the Site if any information you provide is untrue, inaccurate, not current, or incomplete.


2. USER REGISTRATION AND ACCOUNT SECURITY


You may be required to register an account to access certain features, courses, or applications. You agree to keep your password confidential and are solely responsible for all activity under your account. We reserve the right to remove, reclaim, or change any username we deem inappropriate, obscene, or objectionable in our sole discretion.


3. INTELLECTUAL PROPERTY RIGHTS


Unless otherwise indicated, the Site and all content, source code, databases, functionality, software, designs, audio, video, text, photographs, graphics, course materials, curricula, 3D design tools, and trademarks, service marks, and logos (collectively, the “Content” and “Marks”) are owned or controlled by Mobalon Academy or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.


The Content and Marks are provided “AS IS” for your personal, non-commercial informational use only. No part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.


You are granted a limited, non-exclusive, non-transferable license to access and use the Site and to download or print portions of the Content solely for your personal, non-commercial use in connection with your enrollment or legitimate educational purposes. All rights not expressly granted are reserved.


4. PROHIBITED ACTIVITIES


You may use the Site only for its intended educational and program purposes. You agree not to:


1. Systematically retrieve data or content to create a collection, compilation, database, or directory without our written permission;

2. Collect usernames or email addresses for unsolicited email or create accounts by automated means or under false pretenses;

3. Use a buying or purchasing agent to make purchases on the Site;

4. Circumvent, disable, or interfere with security-related features;

5. Engage in unauthorized framing or linking;

6. Trick, defraud, or mislead us or other users, especially regarding account information;

7. Make improper use of support services or submit false reports of abuse;

8. Engage in automated use of the system (scripts, data mining, robots, scrapers);

9. Interfere with, disrupt, or create an undue burden on the Site or connected networks;

10. Impersonate another user or person or use another user’s username;

11. Sell or transfer your profile or account;

12. Use information from the Site to harass, abuse, or harm another person;

13. Use the Site to compete with us or for any revenue-generating commercial enterprise not expressly authorized;

14. Decipher, decompile, disassemble, or reverse-engineer any software on the Site;

15. Bypass measures designed to prevent or restrict access;

16. Harass, annoy, intimidate, or threaten our employees or agents;

17. Delete copyright or proprietary rights notices;

18. Copy or adapt the Site’s software (including HTML, JavaScript, or other code);

19. Upload or transmit viruses, Trojan horses, or other malicious material, or engage in spamming;

20. Upload material that acts as a passive or active information collection mechanism (spyware, web bugs, etc.);

21. Launch or distribute any automated system that accesses the Site without authorization;

22. Disparage, tarnish, or otherwise harm us or the Site, in our opinion; or

23. Use the Site in any manner inconsistent with applicable laws or regulations.


Violation may result in termination or suspension of your rights to use the Site, forfeiture of deposits or fees, and reporting to appropriate authorities or industry partners.


5. USER-GENERATED CONTRIBUTIONS


The Site may allow you to submit content, including text, photos, videos, comments, reviews, or other materials (“Contributions”). Contributions may be visible to other users. By creating or making Contributions available, you represent and warrant that:


- You own or have all necessary rights and licenses to the Contributions;

- The Contributions do not infringe any third-party rights (copyright, trademark, privacy, publicity, etc.);

- You have obtained all required consents for any identifiable individuals appearing in the Contributions;

- The Contributions are not false, misleading, obscene, defamatory, harassing, or otherwise objectionable;

- The Contributions do not solicit personal information from minors or exploit minors;

- The Contributions do not violate any law or these Terms.


We have the right (but not the obligation) to edit, re-categorize, pre-screen, or delete any Contributions at any time for any reason without notice. We assume no liability for Contributions.


6. CONTRIBUTION LICENSE


By posting Contributions, you grant Mobalon Academy an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to use, host, copy, reproduce, disclose, sell, publish, broadcast, archive, store, publicly perform, display, reformat, translate, transmit, and distribute such Contributions (including your name, image, and voice) for any purpose, commercial or otherwise, and to prepare derivative works. This license includes the right to sublicense. You waive all moral rights in your Contributions.


You retain ownership of your Contributions. We do not claim ownership of them, but you are solely responsible for them and agree to exonerate us from any responsibility or legal action regarding them.


7. GUIDELINES FOR REVIEWS


If the Site provides areas for reviews or ratings, you must:


- Have firsthand experience with the person or service reviewed;

- Avoid offensive, racist, abusive, or hate language;

- Avoid discriminatory references based on protected characteristics;

- Not reference illegal activity;

- Not be affiliated with competitors when posting negative reviews;

- Not make legal conclusions;

- Not post false or misleading statements; and

- Not organize campaigns to post reviews.


We may accept, reject, or remove reviews at our sole discretion. Reviews are not endorsed by us. By posting a review you grant us a perpetual, royalty-free license to use the content.


8. COURSE ENROLLMENT, DEPOSITS, AND MOBILE SALON PROGRAM


Mobalon Academy offers online courses leading to the Mobile Salon Operators License (MSOL) and related artistic and business training. Key terms specific to enrollment include:


(a) Pricing and Deposits. Courses may be purchased individually (typically $1,000 per course) or as a full program package (typically $5,000 for the complete 10-course / 170+ hour program). Payments and deposits made toward the Mobile Salon School may be applied toward a future Mobile Salon Bus purchase or financing under qualifying programs, subject to program rules and sponsor approval.


(b) Money-Back Guarantee. We offer a full Money-Back Guarantee if you complete the entire enrolled course or program and are not 100% satisfied. Completion of the full course is a strict condition of eligibility for this guarantee. Requests must be submitted in accordance with our procedures.


(c) Early Cancellation. If you cancel before completing the enrolled course or program (“Early Cancellation”), you forfeit the deposit or fees paid. Early Cancellation is considered a permanent separation from Mobalon Academy programs and related opportunities offered by the broader Mobalon / Mobile Salon NETWORK ecosystem. We reserve the right to retain all or any portion of deposits for damages, administrative fees, or penalties as permitted under these Terms.


(d) B.O.S.O. Program. In certain cases, the Buy-Out Switch-Out (B.O.S.O.) option may allow recovery of a deposit by locating a qualified replacement participant, subject to a service fee (currently $500) and our approval.


(e) Negative Early Cancellation / Do Not Work With (DNWW) List. Participants who engage in abusive, deceptive, or bad-faith Early Cancellations may be placed on our internal Do Not Work With list. Relevant identifying information (including professional license numbers where applicable) may be shared with affiliated companies and industry partners for legitimate business protection purposes.


(f) Refund Processing. Approved refunds are issued only to the original payment method and may take up to 30 days (or longer in complex cases involving sponsors). All refund requests are subject to final review and approval. We reserve the right to refuse or limit refunds in cases of suspected abuse of the system.


Submitting a cancellation or refund request constitutes written notice that you no longer wish to participate and understand that you forfeit benefits associated with continued participation.


9. MOBILE APPLICATION LICENSE


If you access the Site via a mobile application, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the application on devices you own or control, strictly in accordance with these Terms. You may not reverse-engineer, modify, distribute, or use the application for commercial purposes not authorized by us. Additional terms from Apple App Store or Google Play apply when the application is obtained through those distributors.


10. SOCIAL MEDIA AND THIRD-PARTY ACCOUNTS


You may link your account to third-party social or service accounts. By doing so, you authorize us to access and use content from those accounts as permitted by their terms. Your relationship with third-party providers is governed solely by their agreements. We are not responsible for Social Network Content.


11. SUBMISSIONS


Any questions, comments, suggestions, ideas, feedback, or other information you provide to us (“Submissions”) become our sole property. We own exclusive rights and may use Submissions for any lawful purpose without acknowledgment or compensation to you. You waive moral rights and warrant that Submissions are original or that you have the right to submit them.


12. THIRD-PARTY WEBSITES AND CONTENT


The Site may contain links to third-party websites or content. We do not investigate, monitor, or endorse third-party sites or content and are not responsible for them. Accessing third-party sites is at your own risk. These Terms no longer apply once you leave the Site.


13. ADVERTISERS


Advertisers are solely responsible for their advertisements and any products or services offered. Advertisements are subject to our DMCA policy. We provide only the space for advertisements and have no other relationship with advertisers regarding refunds or claims.


14. SITE MANAGEMENT


We reserve the right, but not the obligation, to: (a) monitor the Site for violations; (b) take appropriate legal action, including reporting to law enforcement; (c) refuse, restrict, or disable access to Contributions or the Site; (d) remove burdensome files or content; and (e) otherwise manage the Site to protect our rights and facilitate proper functioning.


15. PRIVACY POLICY


We care about data privacy and security. Please review our Privacy Policy (available on the Site or at related Mobalon platforms). By using the Site you agree to be bound by the Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States. If you access it from outside the United States, you consent to the transfer and processing of your data in the United States. We do not knowingly collect information from children under 13 without verifiable parental consent.


16. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY


We respect intellectual property rights. If you believe material on the Site infringes your copyright, notify our Designated Copyright Agent with a proper DMCA Notification containing the required elements under 17 U.S.C. § 512(c)(3).

17. TERM AND TERMINATION


These Terms remain in effect while you use the Site. We reserve the right, in our sole discretion and without notice or liability, to deny access to the Site (including blocking IP addresses), terminate your participation, or delete your account and content at any time for any reason, including breach of these Terms or applicable law.


If your account is terminated, you are prohibited from creating a new account under any name. We may pursue civil, criminal, or injunctive remedies.


18. MODIFICATIONS AND INTERRUPTIONS


We reserve the right to change, modify, or remove Site content or features at any time without notice. We have no obligation to update information. We may suspend or discontinue the Site or any part of it without liability. We do not guarantee continuous availability and are not liable for downtime, interruptions, or inability to access the Site.


19. GOVERNING LAW


These Terms and your use of the Site are governed by the laws of the State of Texas, without regard to conflict of law principles.


20. DISPUTE RESOLUTION


Informal Negotiations. The parties agree to attempt informal negotiation of any Dispute for at least thirty (30) days before initiating arbitration.


Binding Arbitration. If informal resolution fails, any Dispute (except those expressly excluded) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (and Consumer Rules where applicable). Arbitration will take place in Dallas County, Texas. YOU UNDERSTAND THAT YOU ARE WAIVING THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.


Class Action Waiver. Arbitration shall be limited to the individual Dispute. No class, collective, or representative actions are permitted.


Exceptions. Intellectual property disputes, claims of theft/piracy/unauthorized use, and claims for injunctive relief are not subject to the informal negotiation or arbitration requirements.


Any court proceedings (if arbitration is unavailable) shall be brought exclusively in the state or federal courts located in Dallas County, Texas. You consent to personal jurisdiction there.


No Dispute related to the Site may be commenced more than one (1) year after the cause of action arose.


21. DISCLAIMER


THE SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES REGARDING ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT. WE ASSUME NO LIABILITY FOR ERRORS, PERSONAL INJURY, PROPERTY DAMAGE, UNAUTHORIZED ACCESS TO DATA, INTERRUPTIONS, VIRUSES, OR ANY LOSS OR DAMAGE ARISING FROM USE OF THE SITE OR CONTENT. WE DO NOT ENDORSE OR ASSUME RESPONSIBILITY FOR THIRD-PARTY PRODUCTS OR SERVICES.


22. LIMITATIONS OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOBALON ACADEMY, ITS OWNERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE LESSER OF THE AMOUNT YOU PAID TO US DURING THE SIX (6) MONTHS PRECEDING THE CLAIM OR ONE THOUSAND U.S. DOLLARS ($1,000.00). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.


23. INDEMNIFICATION


You agree to defend, indemnify, and hold harmless Mobalon Academy and its affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees) arising out of: (1) your Contributions; (2) your use of the Site; (3) your breach of these Terms; (4) your breach of representations or warranties; (5) your violation of third-party rights; or (6) any harmful act toward another user. We reserve the right to assume exclusive defense of any matter subject to indemnification at your expense.


24. USER DATA


You are solely responsible for data you transmit or that relates to your activity on the Site. Although we perform routine backups, we have no liability for loss or corruption of such data. You waive any right of action against us arising from such loss or corruption.


25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES


Visiting the Site, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices and records. You waive any rights requiring original signatures or non-electronic records.


26. TEXAS USERS AND RESIDENTS


If any complaint with us is not satisfactorily resolved, you may contact the Texas Office of the Attorney General, Consumer Protection Division, PO Box 12548, Austin, TX 78711-2548.


27. MISCELLANEOUS


These Terms, together with any policies or rules posted on the Site, constitute the entire agreement between you and us. Our failure to enforce any provision is not a waiver. We may assign our rights and obligations at any time. We are not liable for delays or failures caused by events beyond our reasonable control. If any provision is found unlawful, void, or unenforceable, it is severable and the remaining provisions continue in full force. No joint venture, partnership, employment, or agency relationship is created by these Terms. These Terms will not be construed against us by virtue of having drafted them. You waive defenses based on the electronic form of these Terms or the lack of physical signatures.
